1. Identification of the Provider

These Terms of Service ("Terms") govern the use of services provided by The Very Best Company s.r.o., with registered office at Stará Vajnorská 1367/4, 831 04 Bratislava, Slovenská republika, IČO: 57 561 346, IČ DPH: SK2122839301, registered in the Commercial Register of the District Court Bratislava (hereinafter "Provider").

2. Definitions

"Services" — AI automation solutions including chatbots, voice agents, booking agents, and related services offered under the Aiagentic01 brand
"Client" — any natural or legal person who enters into a contract with the Provider
"Website" — the website accessible at https://aiagentic01.com
"AI Agent" — an automated software solution deployed by the Provider for the Client

3. Scope of Services

The Provider offers AI automation services including but not limited to:

AI Booking Agents
AI Customer Service Chatbots
AI Sales Assistants
AI Social Media Management
AI Voice Agents (Voicebots)
AI Analytics & Reporting
Custom AI Integrations

The specific scope, pricing, and timeline of services are agreed upon individually with each Client through a separate service agreement.

4. Contract Formation

A contract between the Provider and the Client is formed upon: (a) signing a written service agreement, (b) acceptance of a quote or proposal, or (c) payment of the first invoice. The Client confirms they have read and accepted these Terms before entering into a contract.

5. Pricing and Payment

Prices are listed on the Website and are subject to individual agreement
All prices are in PLN (Polish Zloty) unless otherwise agreed
Payment is due within 14 days of invoice date unless otherwise agreed
Late payments may incur statutory interest under Slovak Act No. 513/1991 Coll. (Commercial Code)
The Provider reserves the right to suspend services in case of non-payment exceeding 30 days

6. Implementation and Delivery

The standard implementation period is 30 days from contract signing. The Provider commits to:

Providing a free initial consultation
Developing and deploying AI solutions within the agreed timeline
Providing training and documentation for deployed solutions
Offering ongoing support and maintenance as per the service agreement

7. Client Obligations

The Client agrees to:

Provide accurate and complete information necessary for service delivery
Grant necessary access to systems and platforms required for integration
Comply with all applicable laws regarding the use of AI-powered solutions
Not use the services for any illegal, harmful, or unethical purposes
Not reverse-engineer, copy, or redistribute the Provider's AI solutions

8. Intellectual Property

All intellectual property rights in the AI solutions, software, and methodologies remain with the Provider. The Client receives a non-exclusive, non-transferable license to use the deployed solutions for the duration of the contract. Custom configurations and trained models specific to the Client are owned by the Client.

9. Liability and Warranties

The Provider warrants that services will be performed with professional care and skill
AI-generated outputs are provided "as-is" and may require human review
The Provider's total liability is limited to the amount paid by the Client in the preceding 12 months
The Provider is not liable for indirect, consequential, or incidental damages
Force majeure events (including AI service provider outages) release the Provider from obligations for their duration

10. Termination

Either party may terminate the contract with 30 days written notice
The Provider may terminate immediately in case of material breach or non-payment
Upon termination, the Client's data will be exported and deleted within 30 days
Provisions regarding intellectual property, liability, and confidentiality survive termination

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement. This obligation continues for 2 years after contract termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the Slovak Republic. Any disputes arising from or in connection with these Terms shall be resolved by the competent courts of the Slovak Republic. Before initiating legal proceedings, the parties agree to attempt to resolve disputes amicably within 30 days of written notification.

13. Changes to These Terms

The Provider reserves the right to modify these Terms. Clients will be notified of material changes at least 30 days in advance. Continued use of services after changes take effect constitutes acceptance of the modified Terms.
